1. Legal Architecture and Binding Agreement
Welcome to the centralized legal framework and compliance hub for the Morzt platform, its associated network endpoints, enterprise software distributions, and mobile applications (collectively referred to as the "Services" or "Platform"). The documentation herein constitutes the Master Services Agreement ("MSA") executing between you, the User (whether functioning as an individual consumer, corporate entity, or state actor), and Morzt Inc., a corporation legally formed and registered in the State of Delaware, United States, maintaining operational headquarters in San Francisco, California.
By executing any interaction with the Services—including but not limited to accessing the site via HTTP/HTTPS protocols, authenticating an account, downloading binary applications, or transmitting data to our APIs—you expressly acknowledge that you possess the requisite legal capacity to enter into a binding contract and affirmatively accept the terms articulated across this entire legal hub. If you are entering into these agreements on behalf of a corporation or other legal entity, you represent and warrant that you hold the explicit authority to bind such entity and its affiliates to these terms.
2. Commercial Distribution Models & Financial Liability
The Morzt infrastructure utilizes a dual-tier commercial distribution framework specifically bifurcated to ensure uncompromising adherence to international tax remittance and regulatory compliance mandates:
- First-Party Processing (Merchant of Record: Stripe): For direct subscription services, enterprise tier provisioning, and API credit allocations directly billed by Morzt Inc., Stripe acts as our processor. In these instances, Morzt Inc. retains direct financial liability, tax remittance obligations (where applicable), and manages all direct dispute resolutions.
- Authorized Reseller Processing (Merchant of Record: Lemon Squeezy): For specific localized SaaS distributions or specialized digital goods, Lemon Squeezy (or an equivalent audited third-party) acts as the authorized Merchant of Record. In these transactions, the reseller calculates and remits regional sales tax (VAT/GST). However, the underlying intellectual property rights, data protection obligations, and software warranties are strictly governed by Morzt Inc.
3. Open-Source Component Disclosures and Exceptions
While Morzt Inc. operates proprietary enterprise software, selective underlying libraries, SDKs, or architectural scaffolding may be distributed under various open-source licenses, specifically the MIT License.
Where applicable, you are granted a permissive, non-exclusive right to utilize those specific open-source components solely in accordance with their original license texts. However, such open-source licensing never supersedes, overrides, or transfers rights regarding Morzt Inc.’s core proprietary intellectual property, trade secrets, patented algorithms, commercial trademarks, or closed-source enterprise distributions. Open-source components are provided strictly "AS IS", without any warranty of any kind, express or implied.
4. Global Legal Applicability
The policies detailed within this hub are authored to comply universally with prevailing 2026 digital compliance frameworks. This includes, but is not limited to, the European Union General Data Protection Regulation (GDPR), the California Privacy Rights Act (CPRA), the UK Data Protection Act, and strict App Store commercial regulations mandated by Apple Inc. and Google LLC. If any provision within this hub is determined by a court of competent jurisdiction to be legally invalid, such provision shall be severed from the agreement without affecting the enforceability of the remaining clauses.
